MAGSource End User License Agreement (EULA)

1. License Grant

MAG grants you a limited, non-exclusive, non-transferable, revocable license to access and use the MAGSource platform for your internal business purposes.

You are not purchasing the software. You are granted a license to use it.

2. Description of Services

MAGSource is a cloud-based analytics and business intelligence platform that provides:

• Amazon Seller Central performance analytics
• Advertising performance reporting
• Inventory and operational insights
• Account health monitoring
• Growth recommendations

The platform integrates with Amazon’s SP-API and Advertising API to deliver data-driven insights.

3. Eligibility and Access

• MAGSource is available to customers of MAG GROWTH LLC services
• Access requires an active service agreement with MAG
• You are responsible for maintaining the confidentiality of your login credentials

MAG reserves the right to approve or deny access at its discretion.

4. Pricing

MAGSource is provided at no additional cost to active MAG GROWTH LLC clients.

• There are no standalone subscription fees
• Access is bundled within Amazon account management services
• Service pricing is determined separately via client agreements

5. Acceptable Use

You agree NOT to:

• Reverse engineer, copy, or replicate the platform
• Resell, sublicense, or distribute MAGSource
• Use the platform for unlawful purposes
• Attempt to access unauthorized data or systems

EULAs commonly restrict copying and reverse engineering to protect IP.

6. Data and Integrations

By using MAGSource, you authorize MAG to:

• Access your Amazon Seller Central and Advertising data
• Process and display performance data within the platform

We do NOT:

• Sell your data
• Share your data outside service delivery

You retain ownership of your business data.

7. Intellectual Property

All rights, title, and interest in MAGSource—including software, design, and analytics systems—remain the exclusive property of MAG GROWTH LLC.

This Agreement does not grant you ownership of the platform.

8. Availability and Modifications

MAG may:

• Update, modify, or discontinue features at any time
• Perform maintenance that may temporarily impact availability

We do not guarantee uninterrupted or error-free service.

9. Termination

We may suspend or terminate access to MAGSource if:

• You violate this Agreement
• Your service relationship with MAG ends
• We determine misuse or security risk

Upon termination, your access to the platform will be revoked.

10. Disclaimer of Warranties

MAGSource is provided “as is” and “as available.”

We make no warranties regarding:

• Accuracy of data
• Performance outcomes
• Business results

Use of the platform is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law:

MAG GROWTH LLC shall not be liable for:

• Lost profits or revenue
• Business interruption
• Data inaccuracies
• Indirect or consequential damages

12. Indemnification

You agree to indemnify and hold harmless MAG GROWTH LLC from any claims arising from:

• Your use of MAGSource
• Violation of this Agreement
• Misuse of Amazon data

13. Governing Law

This Agreement shall be governed by the laws of the State of GA, without regard to conflict of law principles.

14. Changes to This Agreement

We may update this Agreement from time to time.

Continued use of MAGSource after updates constitutes acceptance of the revised terms.
